Serum Ambassador Terms

These Serum Ambassador Terms (the "Terms") are an agreement between ChesKat Enterprises LLC, a Colorado limited liability company ("we," "us"), and you, an approved ambassador ("you"), for the ambassador program (the "Program") for Serum, our skincare routine iOS app ("Serum").

How you accept. By replying "I agree" to your welcome email, or by using or sharing your Referral Code in any way, you accept these Terms, effective on the date you first do either (your "Start Date"). If you don't agree, don't use your code.

1. Joining

1.1 Eligibility. You must be at least 18, legally able to enter contracts, and a U.S. resident, and you will tell us if that changes. We approve ambassadors at our discretion, and you may hold only one enrollment.

1.2 Your Referral Code. Once you're approved, we'll send you a unique Apple offer code, link, and/or QR code (your "Referral Code"). It is personal to you and may not be sold or transferred. We may change or deactivate any Referral Code, and redemptions follow Apple's rules, which we don't control.

1.3 Free Serum Premium. While you're an ambassador, we may give you a free Serum subscription. It is not a Commission and may end when these Terms end, after which Apple may renew it at the standard price unless you cancel.

2. Earnings

2.1 What counts. When someone redeems your Referral Code and then buys their first paid annual Serum subscription, that's a "Qualifying Conversion." Your own, your household's, and your friends' subscriptions count. Renewals, monthly plans, and later purchases don't.

2.2 Rate. We pay you a commission ("Commission") of $15.00 for each Qualifying Conversion.

2.3 Founding Ambassadors. If you're among the first 25 ambassadors approved by December 31, 2026, we'll confirm your Founding status in writing. For 12 months from your Start Date, you earn $20.00 per Qualifying Conversion instead of $15.00. Founding status doesn't carry over if you leave and rejoin.

2.4 Recruiting bonuses. When a new ambassador names you as their referrer in their application and joins while you're an active ambassador, you earn $20 if they reach 3 Qualifying Conversions within 6 months of their Start Date, and another $30 if they reach 10 within 12 months. Bonuses are one level only, with no share of their Commissions, and aren't earned if the triggering conversion happens after your Terms end. Bonuses count as Commissions under these Terms, and their Hold Period runs from the triggering conversion.

2.5 What doesn't earn. No Commission is owed for a conversion that is refunded or reversed during the Hold Period, results from a violation of these Terms, occurs after these Terms end, or that we reasonably believe is fraudulent or artificial.

2.6 Counting and disputes. We calculate Commissions using our records and Apple's data. For questions or concerns, email us within 60 days after the monthly payout it relates to. After that, all calculations are final.

3. Getting Paid

3.1 Schedule. Each Commission becomes payable 30 days after its Qualifying Conversion (the "Hold Period") if the subscription hasn't been refunded or reversed. We pay monthly, within 15 days after each calendar month ends, for every Commission whose Hold Period ended in that month or earlier, with no minimum balance, by Zelle or another method we choose, to the email or U.S. mobile number you give us. If a payment can't be delivered, we'll hold it until you update your details.

3.2 Refunds after payment. If a subscription is refunded or reversed after we've paid its Commission, we'll deduct that amount from your future Commissions. We'll ask you to repay it directly only if the refund or reversal is tied to a violation of these Terms or to fraud, and then within 30 days.

3.3 Taxes. No tax form is needed to join. Once Commissions paid to you in a calendar year reach $1,000, we'll request an IRS Form W-9 and may pause payments until we receive it. You're responsible for your own taxes, and we'll issue a Form 1099 where the law requires.

4. Sharing Rules

4.1 Disclose every time. Whenever you recommend Serum, clearly disclose that you earn a commission (for example, "#ad" or "I earn a commission if you subscribe") in the post, video, or message itself, not hidden in a bio or among hashtags.

4.2 Be genuine. You must be a current Serum user while you promote it, share only your honest experience, and follow all laws (including the FTC's Endorsement Guides and anti-spam laws) and platform rules.

4.3 Don't:

  • send spam or unsolicited bulk messages;
  • run paid ads for Serum, or on "Serum," "ChesKat," or similar terms, without our written approval;
  • post your Referral Code on coupon, deal, or code-sharing sites;
  • request or incentivize App Store reviews;
  • claim Serum diagnoses, treats, or cures any skin condition, or gives medical advice;
  • make false or misleading statements, or claim to speak for us;
  • use fake accounts or bots, or pay people to redeem your code or subscribe;
  • promote Serum alongside unlawful, hateful, sexually explicit, or harassing content, or to people under 18; or
  • while these Terms are in effect and for 90 days after they end, publicly post or publish content that disparages Serum, ChesKat Enterprises LLC, or its owners. If Serum stops working for you, tell us or end these Terms. This doesn't restrict statements required by law, communications with a government agency, rights you can't legally waive, or an honest customer review of Serum.

4.4 Fixes. If we ask you to fix or remove content about Serum, you'll do so within 48 hours.

5. Brand and Content

You may use the Serum name, logo, and materials we provide only to promote Serum under these Terms. We own all rights in Serum and its brand. You keep ownership of your content, and you allow us to share, repost, and link to your public posts that mention Serum, including your name, image, and likeness as they appear in them, with credit to you, during the Program and for 12 months after.

6. Ending

6.1 How it ends. Either of us may end these Terms anytime, for any reason, by email. We may also end them by email if no one redeems your Referral Code in two consecutive full calendar quarters after your Start Date, or immediately if we reasonably believe you violated or breached these Terms, committed fraud, or seriously harmed our reputation or Serum's.

6.2 What happens next. We'll deactivate your Referral Code, and you'll stop sharing it. No Commissions are earned on conversions after the end date. If we end things for cause, unpaid Commissions are forfeited to the extent permitted by law, and we may recover Commissions tied to the violation. Otherwise, we'll pay what you earned before the end date in the monthly payout after its Hold Period passes. You're welcome to reapply anytime, unless we ended things for cause.

7. Legal Terms

7.1 Independent contractor. You're an independent contractor, not our employee, partner, or agent. You decide when and how to promote Serum, cover your own costs, and aren't entitled to wages, benefits, workers' compensation, or unemployment insurance from us.

7.2 Liability. The Program and Serum are provided "as is," with no guarantee of earnings. To the extent the law allows, we aren't liable for indirect or consequential damages or lost profits, and our total liability is limited to the Commissions paid or payable to you in the prior 12 months.

7.3 Indemnification. If a claim, fine, or regulatory action is brought against us because you violated or breached these Terms, the law (including the FTC's Endorsement Guides, for example by not disclosing your commission or by making a medical claim), or someone else's rights, you'll cover our resulting losses and costs, including reasonable attorneys' fees.

7.4 Changes. We may update these Terms with at least 30 days' notice by email. Updates apply only to conversions after they take effect, and continuing to use your Referral Code after that date means you accept them.

7.5 Disputes. Colorado law governs these Terms, and any dispute will be resolved in the state courts of the City and County of Broomfield, Colorado, or the U.S. District Court for the District of Colorado. Each party knowingly and voluntarily waives any right to a jury trial in any dispute arising from these Terms or the Program. You may bring claims against us only individually, not in any class, collective, or representative action. If the class action waiver is found unenforceable, it will be severed, and the rest of these Terms will remain in effect.

7.6 General. These Terms are our entire agreement about the Program and supersede the Program webpage. If any part is unenforceable, the remaining terms still apply. You may not assign these Terms; we may assign them to an affiliate or a successor to Serum. Notices to us go to contact@cheskatenterprises.com, and notices to you go to the email you applied with or a later one you give us. Electronic records and acceptance are binding. Sections 2.6, 3.2, 3.3, 5, 6.2, and 7 survive after these Terms end, and the non-disparagement terms in Section 4.3 survive for 90 days.
